Amara Raja Energy & Mobility Ltd ARE&M

A resilient lead-acid duopoly, a confirmed stalled Chinese technology licence, and a valuation that already reflects much of both

Summary

Amara Raja Energy & Mobility is the Tirupati-based, Galla-family-founded battery major better known for its Amaron automotive brand. Alongside Exide Industries, it holds a duopoly position in India's organised lead-acid battery market, and its Industrial segment — serving telecom operators, telecom-equipment makers, the UPS sector, Indian Railways and the power/oil & gas industry — is the closest thing in India's listed battery sector to a direct data-center backup-power supplier of scale. A third-party India power-supply-chain research note names Amara Raja and Exide as the two Indian-listed suppliers of the lead-acid and lithium-ion batteries powering data-center UPS systems, and states that UPS equipment represented 30.68% of India's data-center power market revenue in 2025 — the single largest product sub-segment in that market's own breakdown. No company-sourced statement, however, ties Amara Raja's own growth specifically to AI-driven data-center demand; the link rests on third-party analyst framing of the UPS/battery product category, not on management's own words.

Layered on top of the legacy business is a New Energy segment built around a lithium-ion "Gigafactory" via wholly-owned subsidiary Amara Raja Advanced Cell Technologies (ACT), whose ₹500 crore Customer Qualification Plant in Telangana was formally commissioned on 15 July 2026. New Energy segment revenue has scaled quickly — crossing ₹200 crore in a single quarter for the first time in Q3 FY26 and reaching ₹209.30 crore in Q1 FY27, up roughly 70% year-on-year — but posted an operating loss of ₹22.05 crore in that same quarter, and consolidated operating margin has slipped from 14% to 13% to 11% across FY24-FY26 as the segment scales ahead of profitability. The more consequential development is on the technology side: the flagship gigafactory's original external technology licence, signed with China's Gotion High-Tech via subsidiary GIB EnergyX in June 2024, has stalled. The company's own New Energy Business head, Vikramadithya Gourineni, confirmed on Amara Raja's Q4 FY26 earnings call that the arrangement "has not moved ahead due to geopolitical reasons," adding that "sharing of technology and licensing arrangements are being increasingly discouraged by the Chinese government." The flagship Telangana (Mahbubnagar/Divitipally) gigafactory has slipped accordingly, from an original "before end of 2025" target to a first 2 GWh line now guided for June 2027, with full commissioning pushed to Q1 FY28. Separately, this research found two different descriptions of Amara Raja's near-term BESS (grid-scale battery storage system) plans — a 10 GWh facility at Divitipalli targeted for end-CY2026 production in one set of sources, and a smaller, lower-capital 5 GWh BESS integration facility (~₹280 crore capex, targeted end-FY27) in another — that this research could not fully reconcile as the same project described at different stages, or two distinct projects.

At a CMP of ₹747 (1 Oct 2026) and a FY26 consolidated EPS of ₹53.02 (as disclosed), the stock trades at roughly 14.1x trailing earnings — about half Exide's multiple — reflecting a duopoly lead-acid franchise that remains genuinely strong (a fast-scaling telecom lithium battery-pack business, cumulative supply past 1 GWh with quarterly volumes exceeding 300 MWh by late FY26, requires no new technology breakthrough and does not depend on the stalled gigafactory) set against a New Energy segment whose clearest external catalyst has just failed. The market has already re-rated much of this in: the stock is down roughly 19-20% over the trailing year even as the core franchise has held up.

Net: HOLD. The cheap valuation and resilient core business are real, but so is the confirmed loss of the company's stated external technology path — these largely offset. We see this as a name where the market currently has the balance of risk and value about right, not as a stock positioned for a near-term re-rating in either direction absent new evidence.

Investment rationale
  • A cheap absolute valuation reflecting most of the bad news already. At ~14.1x trailing earnings — roughly half Exide's multiple — the market has already priced in much of the New Energy disappointment this report describes.
  • A resilient, cash-generative lead-acid duopoly underneath the story. Alongside Exide, Amara Raja holds a dominant position in India's organised automotive and industrial battery market, largely insulated from the New Energy segment's specific execution risks.
  • A genuinely scaling telecom lithium business, independent of the delayed gigafactory. Cumulative telecom lithium battery-pack supply crossed 1 GWh, with quarterly volumes exceeding 300 MWh by late FY26 — real, growing revenue that does not depend on the stalled Gotion relationship or the delayed Telangana plant.
  • A real, if indirect, data-center linkage through the Industrial segment. Third-party research names Amara Raja as one of only two Indian-listed suppliers of UPS-grade batteries for data centers, in a market where UPS equipment is the single largest product sub-segment (30.68% of India's DC power-market revenue in 2025) — though this is analyst framing, not a company-stated narrative.
  • A conservative balance sheet and strong credit rating. CRISIL AA+/Stable and near-zero debt mean the company is not financially stressed even as it absorbs the New Energy segment's losses — this is a valuation and timing question, not a solvency one.
What gives us pause
  • The company's own stated external technology path has failed. The Gotion/GIB EnergyX licensing deal, signed June 2024, has "not moved ahead due to geopolitical reasons" per the company's own New Energy Business head — a direct, company-sourced confirmation that the original gigafactory's external-technology differentiator did not survive China's tightening technology-transfer posture.
  • The flagship project has slipped by well over a year. The Telangana gigafactory's first 2 GWh line is now guided for June 2027 (from an original "before end of 2025" target), with full commissioning pushed to Q1 FY28.
  • Margin is genuinely declining and consolidated profit has fallen. Operating margin fell from 14% (FY24) to 13% (FY25) to 11% (FY26); FY26 consolidated PAT declined 5.18% year-on-year to ₹895.77 crore even before the gigafactory's full capital intensity has been felt.
  • No company-sourced statement ties growth to AI or data-center demand specifically, and no named hyperscaler, cloud provider or colocation customer was found contracting with Amara Raja for data-center battery supply — investors should not treat this as an AI-datacenter pure play.
  • Two different descriptions of the near-term BESS plan could not be reconciled in this research — a 10 GWh Divitipalli facility targeted for end-CY2026, versus a separately-described 5 GWh, ~₹280 crore facility targeted for end-FY27 — raising the possibility that the project's scope or timeline has itself moved, inconsistently reported across sources.
  • Governance disclosure has real gaps. Only two independent directors (Ramasamy Annush, Amar Patnaik, both joined 2025) were confirmed against a combined Chairman-and-Managing-Director role (Jayadev Galla); the CFO's name, statutory auditor and litigation/related-party-transaction details could not be verified in this research.
  • Sell-side coverage is thin and dated. Only ICICI Securities (HOLD, target ₹960, 4 June 2026) was confirmed as a named brokerage; Trendlyne aggregation cites seven reports from two sources, averaging ₹952 — both pre-date the confirmed Gotion-stalled disclosure and should be treated as stale.
  • An unresolved trademark dispute with Exide adds a further, if immaterial, overhang. Amara Raja is the respondent/appellant in the "red trade dress" case; the 2 April 2026 appellate judgment's outcome was not confirmed in this research.
Corporate governance assessment

1. Which rules actually apply

Amara Raja is a mainboard NSE/BSE-listed company (NSE: ARE&M, BSE: 500008) subject to the full SEBI LODR regime. Jayadev Galla holds the combined Chairman-and-Managing-Director role, which under SEBI LODR requires at least half the board to be independent directors. This research confirmed only two independent directors (Ramasamy Annush and Amar Patnaik, both reported to have joined in 2025) — the complete board roster and precise independent-director percentage could not be verified, and this report cannot confirm LODR compliance on this point. The listed entity was renamed from Amara Raja Batteries Ltd in September 2023 as part of a broader strategic repositioning around "New Energy"; the lithium-cell operating subsidiary, ACT, was separately incorporated in November 2022.

2. What the company does well

Promoter holding, at 32.86% (held via RN Galla Family Private Limited and family trusts), is materially lower and more widely-held than several promoter-heavy peers, consistent with a founder-led but broadly institutionally-owned company (FII 17.34%, DII 15.31%, public 34.50%, screener.in, June 2026). The balance sheet carries near-zero debt despite a heavy, multi-year capex programme. The group has also consolidated its power-electronics/switchgear business — Amara Raja Power Systems Ltd — into a wholly-owned subsidiary of the listed entity (completed FY2023-24), a cleaner structure than peers where an analogous business sits outside the listed shareholder base. The company holds a CRISIL AA+/Stable long-term credit rating, reaffirmed 30 March 2026, and a CRISIL ESG score of 58 ("Adequate"), dated 29 August 2025. Independent director Annush Ramasamy was reappointed for a second five-year term (12 June 2026 to 11 June 2031) with shareholder approval, and subsidiary ACT's auditor transition (Brahmayya & Co's resignation, 24 September 2025) was described as an alignment move with the parent's own auditor rather than a dispute-driven change.

3. Grey areas

The combined Chairman-and-Managing-Director structure under Jayadev Galla (in the role since August 2021) is a promoter-family-led governance structure, though less concentrated than some peers given the company's broader shareholder base. Management's characterisation of in-house cell-chemistry R&D progress following the stalled Gotion deal — now described as "largely driven by teams in India" via an internal facility, E Positive Energy Labs — is a strategic statement this research could not corroborate against any named technical milestone, energy-density figure or cycle-life claim. An Executive Director, Harshavardhana Gourineni, was identified in one organisational-chart aggregator, but his relationship to the promoter family could not be independently verified. The statutory auditor's identity, the CFO's name, and related-party- transaction disclosure specifics also could not be confirmed in the sources reached.

4. Red flags

None confirmed beyond a routine, small (~₹1.27 crore) upheld GST demand disclosed 31 July 2026 — immaterial financially. No pending litigation, SEBI enforcement action or insider-trading finding specific to Amara Raja was found, but this should be read alongside the disclosure gaps noted above: absence of a finding reflects incomplete research reach (the underlying WebSearch budget was exhausted before litigation-specific queries could be completed in one research pass), not a confirmed clean record. A direct pull of the FY2025-26 Annual Report / AGM notice would close this gap.

5. Items to watch

Full board composition and independent-director percentage, to confirm SEBI LODR compliance for an executive-chaired board; the statutory auditor's identity and any related-party-transaction or litigation disclosures; any named technical milestone for the in-house cell-chemistry programme; the outcome of the pending Exide trademark appeal; formal confirmation of whether the Gotion/GIB EnergyX relationship is terminated or merely dormant; confirmation of the first 2 GWh Telangana line's commissioning against the June 2027 guidance; and clarification of the BESS facility's actual scope and timeline given the conflicting 10 GWh/end-CY2026 and 5 GWh/end-FY27 descriptions found in this research.

Governance conclusion

No governance red flags confirmed, but disclosure is incomplete. Management has been unusually candid in publicly attributing the gigafactory delay to a specific, named external cause (China's technology-transfer posture) rather than obscuring it, which this report credits. Against that, an unconfirmed independent-director percentage against a combined Chairman/MD structure, together with unverified CFO, auditor and litigation details, means a modest governance discount is warranted. This does not override this report's valuation-driven HOLD call, but investors should treat the governance picture as incomplete rather than clean.

FY26 consolidated EPS was ₹53.02 as disclosed — the single most directly-cited valuation data point found across this research, and the figure we use throughout rather than a trailing-P/E-derived alternative (~₹42.8, back-solved from one source's CMP ÷ trailing P/E) that could not be reconciled against it. We construct an indicative, not guided, FY27E EPS of approximately ₹53 (flat), reflecting continued core lead-acid and telecom-lithium growth largely offset by intensifying New Energy segment losses and capex-related costs ahead of the delayed Telangana commissioning:

Base case rounded to ₹795, built on a target multiple of 15.0x — essentially unchanged from the current ~14.1x trailing multiple, rather than a re-rating in either direction. We considered, and rejected, both a pure "cheap relative to peers" re-rate-up case and a pure "stalled catalyst" de-rate-down case: the two roughly offset, and holding the multiple near its current level reflects that the market's current pricing already captures the bulk of both the opportunity and the risk. The bear case assumes New Energy losses widen further and the multiple compresses toward the low end of the company's recent trading range; the bull case assumes New Energy losses narrow meaningfully faster than guided and/or a new external technology relationship is confirmed, allowing a re-rate toward, though still below, mid-cap industrial- battery peer multiples. Named brokerage coverage found in this research (ICICI Securities, HOLD, target ₹960, dated 4 June 2026; Trendlyne aggregation average of ₹952 from seven reports across two sources) sits between our base and bull cases, but pre-dates the confirmed Gotion-stalled disclosure (BusinessToday, 22 June 2026) and is treated as stale for this report's purposes rather than averaged in. EV/EBITDA cross-check not performed given the near-zero-debt balance sheet makes the P/E-based method the more informative single lens here.
